Terms of Use
Last updated 21 September 2026
YWGSD (“You Will Get Stuff Done”) is provided by NCW Distributors Inc., a New York corporation, 9319 5th Avenue, #1028, Brooklyn, NY 11209, United States. You can reach us at hello@youwillgetstuffdone.com. In these terms, “we”, “us” and “our” mean NCW Distributors Inc.; “you” means the person using YWGSD; and “YWGSD” means the website, the web app and the iPhone app.
By creating an account, signing in or starting a subscription, you agree to these terms and to our Privacy Policy. If you don’t agree, please don’t use YWGSD.
Please read “Resolving disputes” below. If you live in the United States, most disputes are settled by individual arbitration rather than in court, and you give up the right to a jury trial and to take part in a class action. You can opt out within 30 days.
Who can use it
- You need to be at least 13. If you’re under 18, or under the age of majority where you live, a parent or guardian has to agree to these terms for you, and is responsible for how you use YWGSD.
- YWGSD isn’t meant for children under 13, and we don’t knowingly let them sign up.
- One person per account. Keep your sign-in code to yourself: you’re responsible for what happens under your account.
- You can’t use YWGSD if you’re in a country under a US government embargo, or on a US government list of restricted or prohibited parties.
What you get
- A personal, non-exclusive, non-transferable licence to use YWGSD for your own planning, under these terms. We can withdraw it as described in “Suspension and termination by us”. YWGSD itself — the software, design, name and logo — belongs to us.
- YWGSD is new. Features change, and it can go down. We don’t promise any level of uptime, and support is by email, as best we can.
- YWGSD places your work on your calendar. It doesn’t guarantee the work gets done, or that every slot it picks will suit you. Double-check whatever really matters.
Paying
- When you first make an account, you can use YWGSD to finish setting up without a card, until you’ve finished or for 24 hours, whichever comes first. After that you need a subscription.
- Plans and prices are on the pricing page, in US dollars. If tax applies, checkout shows it before you pay. On the website, payments go through Stripe, and your card details never reach us.
- A new account gets a 14-day free trial, once. A card is needed to start it. If you don’t cancel before it ends, you’re charged for the plan you picked, and it renews every month or year until you cancel. We email you 3 days before the first charge, and you get a reminder email before a yearly plan renews.
- Founding members keep their founding price for as long as that subscription runs. If it ends and you subscribe again later, you pay the price at that time.
- Cancel whenever, from Settings → Subscription. You keep access to the end of what you’ve paid for, or of the trial, and you’re not charged again.
- Within 7 days of your first charge, you can refund that charge yourself from Settings. It ends the subscription straight away, and it’s once per account. Apart from that, and the cases set out under “Changes to prices”, “Suspension and termination by us” and “If you live in the EU, EEA or UK”, we don’t refund part of a period.
- If a renewal payment fails, Stripe tries again for a while and you keep access while it does. If it still can’t take the payment, the subscription ends.
- Subscribe in the iPhone app instead and Apple takes the payment, in your own currency, under Apple’s terms. The 14-day free trial is once per Apple Account. Apple handles renewal reminders, cancelling and refunds for those subscriptions: the 3-day email and the 7-day refund above are for website subscriptions. See “App Store purchases”.
Changes to prices
- We won’t raise the price of an existing website subscription without emailing you at least 7 and no more than 30 days before the new price first applies. You can cancel before then.
- If you’re charged a higher price you didn’t agree to, you can cancel within 14 days of that charge and we’ll refund the unused part of the period.
- Founding members’ price doesn’t change while their subscription runs.
- For App Store subscriptions, Apple tells you about price changes, and asks for your agreement where required, under its own rules.
How you can use it
Please don’t:
- try to get into anyone else’s account or data, or into parts of YWGSD you’re not meant to reach;
- break, overload or interfere with YWGSD, or try to get round its limits or security;
- copy, resell, or reverse-engineer YWGSD, except where the law lets you regardless of these terms;
- use it for anything illegal, or to store material you don’t have the right to;
- use bots or scripts to create accounts or to request sign-in codes.
Your data
- What you put in — tasks, notes, the calendars you connect — stays yours. You let us store and process it only to run YWGSD for you.
- How we handle it is in the Privacy Policy. Short version: your calendar gets read, never written, and never sold, and the policy names every company that handles part of running YWGSD.
- Keep your own copy of anything you can’t afford to lose. YWGSD schedules your work — it shouldn’t be the only place that work lives.
Ending it yourself
Delete your account whenever you like, from Settings → Delete my account. It removes the account and everything in it straight away, on every device, and hands your Google permission back. There’s no undo, and we keep no copy.
- Subscribed on the website? Deleting your account cancels that subscription on the spot, with no refund for the time that’s left. Within 7 days of your first charge? Refund it under Subscription before you delete.
- Subscribed in the iPhone app? Deleting your account doesn’t cancel it — only Apple can. Cancel it first, in your iPhone’s Settings → your name → Subscriptions, or Apple will keep charging you. Refunds for App Store purchases are Apple’s decision, at reportaproblem.apple.com.
Prefer to ask a person? Write to hello@youwillgetstuffdone.com.
Suspension and termination by us
We may suspend or close your account if:
- you seriously or repeatedly break these terms, including anything under “How you can use it”;
- we reasonably believe it’s needed to stop fraud, abuse or a security risk;
- a website subscription payment fails and stays unresolved after Stripe’s retries; or
- the law, or a provider we depend on, requires it.
- Where the law allows and it’s safe to, we’ll email you first and give you 7 days to put things right. We may act straight away where we reasonably believe warning you would cause harm.
- While your account is suspended, your data stays put, and you can still delete your account.
- If we close your account, we delete its data, except records the law makes us keep, such as payment records.
- Website subscriptions: if we close your account under (a) or (b), we cancel the subscription with no refund. For any other reason, we cancel it and refund the unused part of the current period.
- App Store subscriptions: we can’t cancel or refund these. If we close your account, we’ll tell you, so you can cancel in your Apple settings and ask Apple for a refund.
- We may stop offering YWGSD altogether. If we do, we’ll give you at least 30 days’ notice by email, cancel website subscriptions, and refund the unused part of the current period.
App Store purchases
If you downloaded YWGSD from Apple’s App Store:
- These terms are between you and us, not Apple. We, not Apple, are responsible for YWGSD and its content.
- Your use of the iPhone app is also subject to Apple’s Licensed Application End User License Agreement and the App Store’s Usage Rules. Your licence to the iPhone app is limited to Apple-branded devices you own or control, as those rules allow.
- Apple has no obligation to provide maintenance or support for YWGSD. That’s our job: write to hello@youwillgetstuffdone.com.
- If the iPhone app fails to meet a warranty that applies to it, you can tell Apple, and Apple may refund what you paid for it. To the extent the law allows, Apple has no other warranty obligation for it.
- We, not Apple, deal with any claim about YWGSD — including product-liability claims, claims that it fails to meet a legal or regulatory requirement, claims under consumer-protection or privacy law, and claims that it infringes someone else’s intellectual property.
- You agree to follow any third-party terms that apply when you use it, such as your mobile carrier’s.
- Apple and its subsidiaries are third-party beneficiaries of these terms. Once you accept them, Apple may enforce them against you as they relate to the iPhone app.
If you live in the EU, EEA or UK
- You have a legal right to withdraw from a subscription within 14 days of buying it, without giving a reason. To withdraw from a website subscription, write to hello@youwillgetstuffdone.com saying so. We’ll refund you within 14 days of hearing from you. If you asked for YWGSD to start straight away and withdraw after being charged, we may keep a proportionate amount for the days you had it.
- For App Store purchases, you withdraw through Apple, and Apple handles the refund.
- Nothing in these terms takes away rights you have under the consumer-protection law of the country you live in. “Resolving disputes” doesn’t apply to you.
Disclaimers
To the extent the law allows, YWGSD is provided “as is” and “as available”, without warranties of any kind, express or implied — including warranties of merchantability, fitness for a particular purpose and non-infringement, and any warranty that it will be uninterrupted, accurate or error-free. Some places don’t allow these exclusions, so some of them may not apply to you.
Limitation of liability
To the extent the law allows:
- We’re not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data, missed deadlines or scheduling mistakes, even if we were told they might happen.
- Our total liability for all claims relating to YWGSD is limited to the greater of what you paid us for YWGSD in the 12 months before the claim arose, or US$50.
These limits don’t apply to liability the law doesn’t let us limit — for example, for death or personal injury caused by our negligence, or for fraud. Some places don’t allow these limits, so some of them may not apply to you.
Indemnification
To the extent the law allows, you agree to defend and indemnify NCW Distributors Inc. and its officers, directors, employees and agents against any claim brought by someone else, and the losses, liabilities, damages, fines, costs and reasonable legal fees that result, arising from (a) your breach of these terms, (b) your breaking any law or anyone else’s rights, or (c) content or information you put into or connect to YWGSD, including calendars you connect. This doesn’t apply to the extent a claim comes from our own breach of these terms, negligence or wilful misconduct. We’ll tell you promptly about any such claim, we may take over its defence at our own cost, and you won’t settle a claim that puts an obligation on us without our written agreement.
Governing law and where disputes go
- The laws of the State of New York and applicable US federal law govern these terms and any dispute about them or about YWGSD, without regard to conflict-of-law rules. The Federal Arbitration Act governs “Resolving disputes”.
- Any dispute that isn’t arbitrated or taken to small claims court goes only to the state courts in Kings County, New York, or the United States District Court for the Eastern District of New York, and you and we agree to those courts’ jurisdiction.
- Nothing here takes away protection you have under mandatory consumer-protection law where you live, which applies even where it differs from New York law.
Resolving disputes
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS HOW DISPUTES ARE RESOLVED, AND INCLUDES A WAIVER OF CLASS ACTIONS AND JURY TRIALS. It applies if you live in the United States.
- Talk to us first. Before starting arbitration or a lawsuit, send the other a written notice describing the dispute and what you want — to us at hello@youwillgetstuffdone.com, to you at the email on your account — including your name and your account email. For 30 days after it’s received, we’ll both try in good faith to resolve it, including by a call you join personally if either of us asks. Time limits for bringing a claim pause for those 30 days, and neither of us can start arbitration or a lawsuit until they’re over.
- Individual arbitration. If it isn’t resolved, any dispute arising out of or relating to these terms or YWGSD — including whether this section applies or can be enforced, except disputes about the class-action waiver, which a court decides — will be resolved by binding individual arbitration run by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in effect when it’s filed (adr.org). It takes place by video or written submissions, unless you’d rather hold it in person in the county where you live. Fees follow the AAA’s consumer fee schedule, and we pay any part the rules require a business to pay. The arbitrator can award the same individual relief a court could, but only for you individually and only as far as your own claim needs.
- Small claims. Either of us can bring an individual claim in small claims court instead — in the county where you live, or in Kings County, New York — if it qualifies and stays an individual claim there.
- No class actions, no jury. YOU AND WE EACH GIVE UP THE RIGHT TO A JURY TRIAL, AND THE RIGHT TO BRING OR TAKE PART IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE ACTION OR ARBITRATION. Claims can only be brought individually. If this waiver is found unenforceable for a particular claim or remedy (such as public injunctive relief), that claim or remedy is split off and decided by a court under “Governing law and where disputes go”, after any individual arbitration has finished, and the rest of this section still applies.
- Many similar claims. If 25 or more similar arbitration demands are filed against us by, or with the help of, the same or coordinated lawyers, they’ll be administered in batches under the AAA’s Mass Arbitration Supplementary Rules. Time limits for claims not yet in a batch pause until their batch begins.
- Opting out. You can opt out of this section within 30 days of first agreeing to these terms. Email hello@youwillgetstuffdone.com from your account email with the subject “Arbitration opt-out”, including your name and a clear statement that you’re opting out. It doesn’t affect the rest of these terms. If you opt out, “Governing law and where disputes go” applies to disputes.
- Changes to this section. If we change this section, the change won’t apply to a dispute we already knew about or you’d already told us about. You can reject the change by emailing us within 30 days of it taking effect, and the version you last accepted keeps applying.
- Exceptions. Either of us may go to court about infringement or misuse of intellectual property. And nothing here stops you raising an issue with a government agency.
Changes to these terms
- We may update these terms. If a change is material, we’ll email you at least 7 and no more than 30 days before it takes effect, saying what’s changing, when, and how to cancel.
- If you don’t agree, cancel your subscription or delete your account before the change takes effect. If you keep using YWGSD after it takes effect, the new terms apply to you.
- Changes never apply retroactively. Changes to “Resolving disputes” follow its point 7.
General
- These terms and the Privacy Policy are the whole agreement between you and us about YWGSD.
- If part of these terms is found unenforceable, the rest still applies, and that part is changed only as much as it needs to be to become enforceable.
- If we don’t enforce something straight away, we haven’t given up the right to later.
- You can’t transfer your rights under these terms. We may transfer ours as part of a merger, acquisition or sale of assets, and we’ll tell you if we do.
- We’re not responsible for delays or failures caused by things outside our reasonable control, such as outages at companies we rely on.
- We send notices to the email on your account.
- Anything that by its nature should outlast your account does — including payment already due, “Disclaimers”, “Limitation of liability”, “Indemnification”, “Governing law and where disputes go” and “Resolving disputes”.
